U.S. Publicly Traded Company Signs Day Sports and One Blockchain LLC Merger Registration Statement, to Focus on Cryptocurrency Mining Business

On July 11, 2025, Signet Sports (NYSE American: SGN) announced that it has submitted a confidential registration statement on Form S-4 to the U.S. Securities and Exchange Commission (SEC) through its newly formed Delaware company, BlockchAIn Digital Infrastructure.
Previously announced on May 28th, the business combination agreement involves the merger of Signet Sports and One Blockchain LLC, the latter being a digital infrastructure developer focused on Bitcoin mining and high-performance computing, with 2024 revenue of approximately $26.8 million and net income of about $5.7 million. The completion of the transaction is subject to Signet Sports shareholder approval and approval for listing on the New York Stock Exchange American LLC. The combined company will focus on the cryptocurrency mining, artificial intelligence, and high-performance computing data hosting market.
